This Practitioner Terms and Agreement (the "Agreement") outlines the terms and conditions governing the relationship between AmaRise, LLC and the Practitioner. By accepting this Agreement, the Practitioner agrees to abide by its terms.
1. Platform Access and Use:
- AmaRise grants the Practitioner access to its platform to be matched with clients seeking holistic wellness services.
- The Practitioner agrees to use the platform in accordance with AmaRise’s terms of service and applicable laws.
2. Client Confidentiality:
- The Practitioner agrees to maintain strict confidentiality of all client information obtained through the AmaRise platform.
- The Practitioner shall not disclose or use any client information for personal gain or to solicit clients for services outside of the AmaRise platform.
3. Non-Solicitation:
- The Practitioner agrees not to solicit, directly or indirectly, any client matched or connected through the AmaRise platform for their own practice or business for a period of two (2) years following the termination of the client or practitioner relationship with AmaRise.
4. Intellectual Property:
- All intellectual property rights related to the AmaRise platform, including but not limited to trademarks, copyrights, and patents, remain the exclusive property of AmaRise.
5. Termination:
- Either party may terminate this Agreement with or without cause upon written notice to the other party.
6. Amendment:
- AmaRise reserves the right to modify or amend the terms of this Agreement at any time. The Practitioner will be notified of any changes, and continued use of the platform constitutes acceptance of the amended terms.
7. Indemnification:
- The Practitioner agrees to indemnify and hold harmless AmaRise from any claims, damages, or liabilities arising from the Practitioner's breach of this Agreement or the Practitioner's services provided through the platform.
8. Governing Law:
- This Agreement shall be governed by and construed in accordance with the laws of Wyoming.
9. Marketing and Promotion:
The Practitioner agrees to:
- Promote the AmaRise platform and its services in a positive and accurate manner.
- Clearly communicate that client matches are based on individual needs and are not guaranteed.
- Avoid any representations that might mislead clients about the nature of the Practitioner's relationship with AmaRise.
- Adhere to AmaRise's branding guidelines and style standards when promoting their affiliation with the platform.
10. Incorporation of Additional Terms:
By signing this Practitioner Agreement, the Practitioner acknowledges and agrees to be bound by the terms and conditions of AmaRise's Terms of Service and Privacy Policy, as amended from time to time. These documents are incorporated herein by reference.
